Wesoftek Solutions Private Limited (“company” or “We” or “Us” or “Our”), having its office at Unit No.301, Iris Tech Park, Sector 48, Gurugram, Haryana 122018, India owns and operates a web/mobile application “SuperManage” available as IOS and android based applications and websites : app.supermanage.io .The app and Website shall hereinafter together be referred to as the “site” or “SuperManage”. By accessing or using the Site, including through a mobile phone, tablet, or computer (whether via the SuperManage application or the website), you agree to comply with and be bound by this Agreement. These Terms of Use govern your access to and use of the Site and its features, as well as your conduct while interacting with the Site, regardless of how you access it.

By accessing, browsing, or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms of Use/Terms and Condition and the Privacy Policy, as they may be modified from time to time (collectively referred to as the "Terms" ). If you do not agree to any of these Terms, you are not authorized to access or use the Site. Your continued use of the Site, after the posting of any changes or revisions to these Terms, constitutes your acceptance of such modifications. It is your responsibility to review these Terms periodically for updates. The Terms and the Privacy Policy apply equally to the website and mobile applications. You are solely responsible for ensuring that your use of the Site complies with all applicable laws and regulations in each jurisdiction in which you access or view the Site or its materials. If any jurisdiction prohibits you from using the Site, or if the content is not permissible in your jurisdiction, you must refrain from using the Site.

The Company reserves the right to modify, update, or revise these Terms at any time, without prior notice, and such modifications shall be effective immediately upon posting to the Site. We encourage you to regularly review the Terms to stay informed of any updates. Your continued use of the Site following such changes will be deemed acceptance of the modified Terms.

To access the features of the Site, you must register with us by completing the sign-up process. This process requires you to provide accurate information, which may include your registered mobile number, email address, Google account, Apple Sign In, and other relevant details about yourself or your organization. Upon successful registration, your account will get created with SuperManage.

As a registered user, you agree to:

1. Accurate Information : Ensure that all information you provide during the registration process is complete, accurate, and not misleading. You are responsible for maintaining the accuracy of the information associated with your account.


2. Account Security : You are solely responsible for maintaining the confidentiality of your account credentials, including your login information, password, and any other details necessary to access your account. You agree to immediately notify us of any unauthorized use of your account or any other security breach.


3. Updating Information : You agree to keep your personal information, as defined in our Privacy Policy, up to date. This includes informing us promptly of any changes to your contact information or other details that you have provided.


4. Account Deactivation : In the event that any of the information you provide is found to be incorrect, incomplete, or misleading, we reserve the right to cancel your registration and deactivate your account.

By registering, you affirm that the information you provide is truthful, complete, and up-to-date, and you acknowledge that any failure to provide accurate information may result in the suspension or termination of your access to the Site.

Ownership of Content : All content on the Site, including but not limited to text, graphics, logos, images, videos, software, and any other materials (the "Content"), is the exclusive property of Wesoftek Solutions Private Limited, its licensors, or other content providers. The Content is protected by copyright, trademark, and other intellectual property laws. You acknowledge that SuperManage or its licensors retain all right, title, and interest in and to the Content, including all intellectual property rights therein.

License to Use Content : Subject to your compliance with these Terms of Use, you are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Content solely for your personal or business purposes as permitted by the functionality of the Site. You may not copy, reproduce, modify, distribute, transmit, display, or otherwise use the Content without prior written consent from SuperManage, except as expressly authorized by the Site.

Prohibited Use of Intellectual Property : You shall not use any trademark, logo, or other proprietary content owned by SuperManage or its licensors in any manner that may infringe on the intellectual property rights of SuperManage, unless expressly authorized in writing. Any unauthorized use of SuperManage’s intellectual property is prohibited and will result in the immediate termination of your access to the Site.

Infringement of Intellectual Property : If you believe that any content posted on the Site infringes your intellectual property rights, you may contact us at   hello@wesoftek.com  We will take appropriate action to investigate and resolve the matter, including removing or disabling access to infringing content if necessary.

SuperManage offers both free and paid services. To access premium features on the Site, you must subscribe to the paid services by paying the applicable subscription fees. Please note that the subscription fees are non-refundable under any circumstances, including but not limited to instances of service cancellation, account deactivation, or dissatisfaction with the premium features.

The following payment methods are available for your subscription to the paid services:

• Credit and Debit Cards
• Net Banking
• Payment Wallets
• UPI (Unified Payments Interface)

To successfully subscribe to the paid services, you are required to complete the payment process for the services you select. By completing the payment, you acknowledge and agree to pay the specified fees for the duration of your subscription.

Your subscription may be subject to automatic renewal, and you agree to be charged for the renewal unless you cancel your subscription prior to the renewal date. You may cancel your subscription at any time as per the cancellation terms provided on the Site. However, any fees already paid for the current subscription period will not be refunded.

To facilitate financial transactions on the Site, we may engage third-party electronic payment processors or service providers ("ESPs"). By using the Site, you grant us permanent authorization to instruct such ESPs to process deposits and withdrawals from your account in accordance with your transaction requests. You also agree that we may issue these instructions on your behalf, as necessary. You further agree to be bound by the terms and conditions of each ESP, which govern your use of their services. In the event of a conflict between these Terms of Use and the terms and conditions of an ESP, these Terms of Use shall take precedence.

You are responsible for ensuring that any payment instrument you use to make transactions on the Site is owned by you and is used with proper authorization. You acknowledge that SuperManage is not a bank, financial institution, or non-banking financial company. We maintain a nodal bank account solely for the purpose of facilitating payments related to services provided on the Site. All payment instructions submitted by you are processed through this nodal bank account for the purpose of effecting payments to other users.

You are solely responsible for managing and overseeing your online banking and financial transactions on the Site. It is your responsibility to ensure that you are familiar with, and comply with, all applicable laws of India, including those relating to online payments and the transfer of funds. You agree to comply with the requirements and regulations established by the Reserve Bank of India (RBI) and other relevant authorities, as they may be updated from time to time. Any violation of these regulations, including those set forth by the RBI, in relation to online monetary transactions, shall be solely your responsibility, and we shall not be held liable in such instances.

In the event that a payment instruction you issue, is not processed successfully for any reason, you will be notified by the third-party payment processor. We assume no responsibility for failed or incomplete transactions, and our liability is limited solely to the facilitation of the transaction. Any issues related to payment failures should be addressed directly with the third-party service provider.

To access certain features of the Services, the Site may require Users to submit certain information and documents to verify their eligibility, including but not limited to identification document ("KYC Documents"). By using the Site, the User authorizes SuperManage, and any third-party service providers it may engage with or work alongside, to process the KYC Documents for the purpose of verifying the User’s eligibility to use specific services. The User agrees and warrants that all KYC Documents provided are accurate, valid, complete, and up-to-date. The User acknowledges that any incorrect, incomplete, or misleading information provided in relation to the KYC process will constitute a material breach of these Terms. In such an event, SuperManage reserves the right to limit or deny the User’s access to certain features or services, or to suspend or deactivate the User's account.

Failure to provide accurate, complete, and truthful information may result in the suspension or termination of your account, as well as a denial of access to certain features or services. You acknowledge that any incorrect or misleading information provided constitutes a material breach of these Terms, and we reserve the right to take appropriate action, including deactivating your account or restricting access to specific services.

The subscription fees paid for accessing premium features on the Site are non-refundable, regardless of whether the services have been used or consumed. Your subscription plan will remain active for the duration of the subscription term, and cancellation is not permitted during this period.

However, in the event of fraudulent transactions, payment errors such as duplicate payments or incorrect amounts being charged, we may, at our sole discretion, consider a refund, subject to successful verification of the issue. Any approved refunds will be processed within 7-10 working days from the date of verification.

SuperManage assumes no responsibility and shall not be liable for any issues arising from incorrect transactions or if we are unable to process payment instructions issued by you due to the following reasons:

1. Incomplete or Incorrect Payment Instructions : If the payment details provided by you, including but not limited to account numbers, UPI pin, or any other required information, are incomplete, inaccurate, invalid, or delayed.


2. Insufficient Funds : If there are insufficient funds or limits in your payment account to cover the specified amount in the payment instructions.


3. Encumbrances on Payment Account : If the funds in your payment account are under any encumbrance or charge preventing the transaction from being processed.


4. Bank or Payment Service Failures : If there is a failure in the system or network of the applicable bank, credit card service provider, or other payment processors.


5. Other Payment Failures : For any other reasons related to payment failures, SuperManage shall not be held liable.

SuperManage strictly prohibits any illegal or unauthorized activities on or against the Site by Users or any third parties. Users are expressly prohibited from impersonating any other person or User, or engaging in any activities that are prohibited under the laws of India or any other applicable jurisdiction. If SuperManage has reasonable grounds to believe that a User has engaged in prohibited activities, or has committed any criminal or cybercrime offenses, SuperManage reserves the right, at its sole discretion, to take appropriate legal action. This may include initiating legal proceedings against the offending User and reporting the matter to the relevant regulatory or law enforcement agencies, both in India and in foreign jurisdictions.

Additionally, SuperManage may suspend or terminate the offending User’s account and other privileges associated with their use of the Site, at its discretion, without any legal obligation to do so.

User Indemnification : You agree to indemnify and hold harmless SuperManage, its directors, employees, affiliates, and agents from any claims, damages, liabilities, or expenses (including legal fees) arising out of or related to your use of the Site, your violation of these Terms of Use, or your infringement of any intellectual property or privacy rights of others.

Limitation of Liability : To the fullest extent permitted by applicable law, SuperManage shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or in connection with your use of the Site. In no event shall SuperManage’s total liability exceed the amount you paid.

In the event of any cybercrime or cyber contravention involving a User's account, the User is solely responsible for investigating, prosecuting, and initiating any necessary legal actions or proceedings against the individuals or entities involved in the cybercrime. SuperManage will not be liable for the financial costs or investigation efforts incurred by the User in connection with such incidents.While SuperManage is not obligated to assume any responsibility for the legal or financial aspects of cybercrime cases, we will make reasonable efforts to assist Users in investigating such matters, to the extent possible, and provide necessary support within our capabilities.

The Site allows registered Users to create, edit, and submit information, including creating User profiles and posting details related to employees. While we do not actively monitor or control the submission of information, we reserve the right, at our sole discretion, to delete, move, or modify any material submitted if we deem it necessary to ensure compliance with these Terms of Use.

You agree to comply with all applicable laws and regulations when using the Site and acknowledge that you are solely responsible for all information you submit for inclusion or transmission. You shall not post or transmit any material that:

1. Fraudulent, Dishonest, or Misleading : Contains false, deceptive, or misleading information.


2. Unlawful or Objectionable : Is unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable, or violates any applicable laws.


3. Encouraging Criminal or Civil Offenses : Promotes conduct that constitutes a criminal offense, gives rise to civil liability, or otherwise breaches applicable laws, regulations, or codes of practice.


4. Infringing on Third-Party Rights : Infringes on the copyright, trademark, or other intellectual property rights of any third party.


5. Technically Harmful : Contains harmful technical elements such as viruses, malware, or other harmful data.

By submitting material to the Site, you grant SuperManage a royalty-free, non-exclusive, worldwide license to use, reproduce, modify, translate, distribute, and make the material available for the purpose of operating and improving the Site.

1. Eligibility : You represent and warrant that you are of legal age to form a binding contract. If you are not of legal age, you confirm that you have obtained the necessary consent from your parent or guardian, and they have agreed to these Terms on your behalf.


2. Automatic Updates : You agree that SuperManage may automatically provide updates to the Site, which may include new features, improvements, or fixes, without requiring additional consent or notice. Please note that failure to install updates or discontinuing installation may result in the Site not functioning properly or at all. We do not guarantee that updates will be available for all devices or systems, or that such updates will continue to support your device.


3. Permitted Use : You agree to access and use the Site only for lawful, personal, and business purposes in accordance with these Terms. You agree not to access the Site through any method other than the interface provided by SuperManage.


4. Compliance with Policies and Regulations : You agree to comply with any codes of conduct, policies, or other notices provided by SuperManage or published on the Site. You must promptly notify us if you become aware of any security breaches or unauthorized use related to the Site. Additionally, you are responsible for ensuring compliance with any applicable laws, rules, and regulations governing the use of the Site in your jurisdiction.

1. Right to Modify the Site : SuperManage reserves the right, at its sole discretion, to add, modify, change, discontinue, or remove any features or content from the Site, temporarily or permanently, with or without prior notice to you. You acknowledge and agree that SuperManage shall not be held liable to you or any third party for any modifications, suspensions, or discontinuances of the Site or any of its features.


2. Prohibited Modifications : You agree not to modify, adapt, decompile, disassemble, hack, or otherwise attempt to gain unauthorized access to the Site, its features, or any associated systems or networks. Any such actions shall be deemed a breach of these Terms of Use, and SuperManage reserves the right to take appropriate legal action against you.

You agree to treat the terms of this Agreement and any other information or documents shared with you in connection with your use of the Site as confidential. You shall not disclose, share, or make public any aspect of these Terms of Use, nor any other confidential information, without our prior written consent, except as required under these Terms of Use, or on a need-to-know basis, provided that you ensure the individuals to whom such information is disclosed maintain its confidentiality.

We reserve the right to disclose any information or documents related to you and/or any transactions conducted on the Site if:

1. The information has ceased to be confidential through no fault of ours.


2. The information has been received from a third party who did not receive it in confidence.


3. We are required to disclose such information by any court, government, or other regulatory body, but only to the extent required by applicable law.

SuperManage shall not be liable for any failure or delay in performance of its obligations under these Terms of Use, due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, power outages, or technical failures, war, terrorism, or governmental actions. In such cases, SuperManage will make reasonable efforts to resume performance of its obligations as soon as possible.

These Terms of Use shall be governed by and construed in accordance with the laws of India. You and SuperManage agree to submit to the exclusive jurisdiction of the courts located in Haryana, India, for the resolution of any disputes arising out of or in connection with these Terms of Use.
In the event of any dispute or claim arising under or in connection with these Terms, the parties agree to resolve the dispute through binding arbitration, in accordance with the rules of the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Haryana, India, and the language of the arbitration shall be English. The decision of the arbitrator(s) shall be final and binding.

We reserve the right to modify, update, or change these Terms of Use at any time, at our sole discretion. You are responsible for regularly reviewing these Terms to stay informed of any changes. By continuing to use the Site after any such changes are made, you agree to be bound by the revised Terms of Use.
